&lt;p&gt;Facility-acquired pressure ulcers cost the global healthcare sector millions of euros each year to treat, but can often be prevented or their impact reduced, according to ArjoHuntleigh&amp;rsquo;s Clinical Director, Lyn Phillips: &amp;ldquo;Without a doubt, the greatest risk to the skin is prolonged pressure due to immobility. &lt;p&gt;BHM was asked to share its experience by presenting the results of the &amp;ldquo;Gemba Walk&amp;quot;, part if its quest of Lean Manufacturing. &amp;ldquo;Gemba Walk&amp;rdquo;, consists in going where the value-added activities take place.&lt;/p&gt;
&lt;p&gt;The objectives are to effectively address opportunities for improvement, emphasize&lt;br /&gt;
communication and teamwork, reduce lead times, improve success rate of products &amp;ldquo;right the first time&amp;rdquo; and ultimately, increase productivity.&lt;/p&gt;
&lt;p&gt;A multi-departmental team was formed and tours the plant floor every morning to review the results, identify opportunities and assign responsibility for quick resolution of problems.&lt;/p&gt;
&lt;p&gt;The results are very impressive. On average, nine improvement actions a week are resolved within 24 hours, not less than 15 improvement projects and 6 Kaisen were completed in the last 12 months.&lt;/p&gt;

The combination of Getinge&amp;rsquo;s and KCI&amp;rsquo;s TSS business creates a global platform with strong positions in most key markets, with significant potential for portfolio and operational synergies. &lt;p&gt;The TSS business includes a comprehensive portfolio of specialty therapeutic beds, mattress replacement systems and other support surfaces and patient mobility devices. TSS has a particularly strong portfolio for therapeutic wound care, bariatric care and critical care settings. TSS had revenues of USD 247 million in 2011, with approximately 1300 employees globally with sales locations in the US, Canada, Germany, Austria, Italy Switzerland, the UK and France. In 2011, the US market accounted for 60% of the TSS business, with Europe accounting for approximately 30%. Similar to Getinge Extended Care&amp;rsquo;s Therapeutic Surfaces business, rental is the primary business model applied for serving customers in acute and post-acute care. The acquisition will enable Getinge Extended Care to achieve a balance between equipment sales and recurring revenues, and the business in the US will increase significantly, in line with its strategic goals. &amp;ldquo;The acquisition of TSS provides an optimal extension of Getinge&amp;rsquo;s Extended Care business, boosting the competencies of our operations. &lt;p&gt;&lt;strong&gt;Sales and operational synergies&lt;/strong&gt;&lt;/p&gt;
&lt;p&gt;Integration of TSS with Extended Care&amp;rsquo;s Therapeutic Surfaces business is expected to create operational synergies in sales, distribution operations, manufacturing and headquarter functions. The complementary nature of the two product portfolios is expected to generate channel synergies and increased customer value. TSS has strong positions in critical and bariatric care while Extended Care&amp;rsquo;s focus has been in general care. Both portfolios have complementary products for Intensive Care Units (ICUs).&lt;/p&gt;
&lt;p&gt;&lt;strong&gt;Financial effects&lt;/strong&gt;&lt;/p&gt;
&lt;p&gt;The acquisition of TSS takes the form of a carve-out, whereby Getinge purchases all assets and intellectual property associated to the TSS business. The acquisition price, debt-free, is USD 275 million (enterprise value), which corresponds to an EV/EBITDA multiple of 5.7x based on annual profit in 2011 on a stand-alone basis. Acquiring TSS&amp;rsquo;s net assets will result in goodwill, which is fully tax deductible at a tax value of approximately USD 30 million (not included in the above-mentioned multiple). Transaction and restructuring costs will amount to USD 35 million, of which USD 25 million will be charged to Getinge&amp;rsquo;s profit in the fourth quarter of 2012. The remaining USD 10 million will be charged next year. The acquisition is pending approval of the competition authorities in several countries and Getinge expects the transaction to be completed in the fourth quarter of 2012. The acquisition is expected to contribute to Getinge&amp;rsquo;s profit per share in 2013, including restructuring and financing costs and goodwill adjustments. &lt;p&gt;&lt;strong&gt;Getinge continues to enhance its operational efficiency by further concentrating its production to fewer units with greater resources. As a step in this pursuit, the Extended Care business area intends to relocate the manufacturing of its bath and hygiene products from Esl&amp;ouml;v, Sweden, to the production facility in Poznan, Poland, and to a third party. &lt;/strong&gt;&lt;br /&gt;
&lt;br /&gt;
The planned change will lead to the successive discontinuation of production in Esl&amp;ouml;v. All staff in Arjo Hospital Equipment in Esl&amp;ouml;v and at Meditechnik in Germany will be affected. About 150 employees in Esl&amp;ouml;v and at Meditechnik are expected to be made redundant, the majority in Sweden. The staff in Esl&amp;ouml;v and at Meditechnik was informed of the planned changes this morning. &lt;br /&gt;
&lt;br /&gt;
&amp;ldquo;We will initiate discussions with the Swedish Public Employment Service and the municipality to support the process of finding new employment for the staff who are expected to be made redundant due to the planned discontinuation of the operation in Esl&amp;ouml;v,&amp;rdquo; says Alex Myers, Executive Vice President of Extended Care.&lt;br /&gt;
&lt;br /&gt;
The discontinuation is scheduled to commence in mid-2013 and is expected to be completed during the second half of 2014.&lt;br /&gt;
&lt;br /&gt;
Getinge&amp;rsquo;s Extended Care business area, which operates under the ArjoHuntleigh brand, will at the same time continue its intense focus on research and development and on establishing a global innovation center in Malm&amp;ouml;. The center will concentrate on developing the company&amp;rsquo;s global range of mobility and hygiene products, and will employ about 65 individuals. The center is expected to open in spring 2013. &lt;br /&gt;
